Plain-language terms.
Effective October 7, 2026.
1. Who you are contracting with
SeedStand is operated by Sequel Solutions LLC, a limited liability company registered in the State of Michigan, United States.
"We" and "us" mean Sequel Solutions LLC. "You" means the organization that opens a SeedStand account, usually a conservation district, soil-and-water district, or nonprofit. To reach us, write to support@seedstand.org.
2. What we provide
Software to run a plant sale: a public storefront, order taking online and by hand, one shared inventory across both, nursery reconciliation, customer communications, pickup-day check-in, and reporting. We host it and keep it running.
We are not a party to the sale itself. You sell plants to your customers. We are the software you do it on. Your relationship with your customers (what you promise them, what you substitute, what you refund) is yours.
3. What it costs
The current prices are published on the pricing page and form part of these terms. In summary: SeedStand's fee is 3% of card payments, then 2% after your first $40,000 of card payments in a season year. There is no license. Stripe charges card processing to your district's own Stripe account at Stripe's rates, and we add no margin to it. Your district is the merchant on every card payment and covers card fees. Cash or check payments never carry a fee. Which ways customers can pay is your setting.
The card payment that crosses $40,000 is charged at 3%, and later card payments in that season year at 2%. Until our system applies the 2% rate on its own, if it charges 3% on a card payment made after your first $40,000 of card payments in a season year, we pay the difference back to your district's Stripe account.
Our policy on price changes: we email your district first, and a new price starts with your next season, never during a season you are in the middle of.
4. Your data is yours
You own your catalog, your orders, and your customer list. We claim no ownership of any of it and we will not sell, rent, or broker it. You can download your catalog, orders, order lines, payments, deposits, customer list, waitlist and sent messages, each as a spreadsheet file, at any time without asking us, and you do not need our cooperation to leave.
If your district receives a public-records request, you can export your orders, your customer list and a list of the emails sent (when, to whom and the subject line; the email text is not kept) yourself, at any time, without asking us.
We process personal data on your instructions, as described in the privacy policy. Where the law makes you the controller and us the processor, that is the relationship we intend.
If we learn that a district's data was accessed without authorization, we will notify the district's administrator by email without undue delay.
5. Your responsibilities
- Keep your sign-in credentials to yourself, and tell us if they are exposed.
- Only email people who agreed to hear from you. The product gives you the list and the consent state; using them lawfully is yours.
- Be accurate with your customers about stock, prices, pickup times and refunds.
- Do not use the service to break the law or to harm anyone.
6. Payments to you
Where you enable card payments, they are processed by Stripe under Stripe's own agreement with you. Card details are never collected or stored by us. Money from checks and cash never passes through us at all; you collect it directly.
Refunds, chargebacks and card disputes on payments taken through SeedStand are your district's responsibility, because your district is the seller and holds the Stripe account. When you refund a card payment from SeedStand, SeedStand's fee on the refunded amount is returned to you; Stripe keeps its own processing fee, and Stripe may charge a fee for each dispute.
7. Uptime, and what happens when we get it wrong
We work to keep the service available, particularly during ordering windows and on pickup days. SeedStand does not offer an uptime guarantee. The service is provided "as is", without warranties beyond those the law does not let us exclude.
Our total liability to you is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect or consequential loss. Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.
8. Ending it
You may stop using the service at any time. We may suspend an account that is being used unlawfully or that puts the service or other districts at risk, and we will tell you why.
Your records stay in your account after your last sale closes, and you can sign in and download them at any time. Nothing is deleted automatically.
To close your account, or to have your district's data deleted, ask in writing through the contact page. We delete a district's data only on that written request. Payment records (amounts, dates and order numbers) are kept for as long as tax law requires, even after a deletion.
9. Changes, and the law that applies
Our policy on changes: when we change this page, we change the date at the top. We will email your district's contact email address before a material change takes effect.
These terms are governed by the laws of the State of Michigan, United States.
